质量保证协议
Quality Assurance Agreement
第一条 适用范围
Item 1 Scope
1.1 为确保供应商提供产品（包括售后备件）的供货质量，本协议规定了供应商在产品前 期开发、批量认可、批量供货，直至售后质量保证全过程的要求和职责；本协议作为《基 础合同》的附件，与《基础合同》具有同等法律效力；本协议与《基础合同》中的质量保 证业务条款构成了双方之间完整的质量保证权利义务关系。
1.1 In order to ensure supplier parts’ (including spare parts) quality to Party A, this agreement describes the the quality requirement and responsibility of supplier during the whole phases involving parts’ developing, PPAP release, SOP and after-sale quality; As attachment of General Contract, this agreement has the same legal effect with General Contact; With quality assurance items in General Contract, they two constitute mutual completed quality assurance rights and obligation.
1.2 本协议适用于乙方供给甲方的所有原材料、产品和服务。
1.2 This agreement applies to all raw materials, parts and service supplied by party B.
第二条 质量责任
Item 2 Quality Responsibility
2.1 乙方及其分供方应保证遵守国家有关质量方面的法律法规及管理规定，例如《合同法》、 《产品质量法》、《缺陷汽车产品召回管理条例》、《家用汽车产品修理、更换、退货责任规定》 等相关法律规定，由于乙方及其分供方提供零件的质量问题，造成甲方由此产生的所有法

律责任及一切经济损失，均由乙方承担。
2.1 Party B and its sub-suppliers should obey national relative quality rules and regulation, such as: Contract Law, Product Quality Law, Defective Automobile Product Recall Management Regulations and Domestic Auto Repair, Change, Sale-return Liability rules, due to the quality problems from Party B and its sub-supplier’s parts, all legal liability and economic losses of Party A shall be borne by Party B.
2.2 乙方供货产品的技术指标和质量基于以下列举的相关质量管理及技术文件要求，但不
限于下列文件要求的限制：
2.2 Technical indicators and quality of Party B’s supply parts should based on the relevant supplier quality management and technical documentation requirements listed below, but not limited to the following restrictions requested documents: 2.2.1 中国国家强制性的法律、法规要求（乙方自行获取）；
2.2.1 Chinese National Mandatory Laws and Regulations (Obtain by Party B) 2.2.2 德国汽车工业管理 VDA 系列丛书（乙方自行获取）；
2.2.2 VDA series (Obtain by Party B)
2.2.3 供应商质量能力评定准则（依据 Formel Q，见附件一：供应商审核报告）；
2.2.3 Supplier Quality Capability Evaluation Criteria (according to the Formel Q See attachment 1- )
2.2.4 甲、乙双方签订的《新产品合作开发技术协议书》；
2.2.4 New Product Cooperative Developing Agreement signed by both parties 2.2.5 产品技术资料（包括图纸、3D 数据、技术条件和标准等）。

2.3 针对产品的特殊质量要求，甲方可以在后续增加的质量文件中予以规定，并作为本 协议的附件，与本协议具有同等效力。
2.3 With regard to parts’ special quality requirement, Party A can describe them in the subsequent additional quality files, and these files will be taken as the attachment of this agreement, have the same legal effect with this agreement.
第三条 质量义务
Item 3 Quality Obligation
3.1 乙方必须确保供货产品符合本协议第二条的规定，做到零缺陷（即不合格判定数 Ac=0）。
3.1 Supplier must ensure the supply parts comply with above Item 2 requirements, and quality goal is zero defects (Ac=0)
3.2 乙方有义务按照本质量协议第二条的规定，要求其分供方。
3.2 Party B must request its sub-supplier according to Item 2 in this Agreement.
3.3 乙方必须保证每批供应产品都随附供应商自检报告（见附件二）。自检报告至少包括
供应品的外观、性能、装配尺寸、产品的生产批次等，否则甲方有权拒绝接收。
3.3 Party B must provide Self-inspection report for each supply batch; appearance, performance and assembly dimensions and production batch must be in the report. Otherwise Party A will reject the parts.
3.4 乙方必须保证对供货产品的重要质量特性进行识别和重点控制，按 PPAP 认可时检
验计划中的要求、项目、频次,按期提供产品审核报告及年度型式试验报告。
3.4 Party B must indentify and control its supply parts’ key quality characteristic and

regularly submit the Audit Report and Annual Type Test Reports according to the frequency and key quality characteristics described in PPAP inspect items.
3.5 乙方必须保证按甲方 PPAP 认可状态的条件进行批量生产，未经甲方书面同意，乙方
不得变更经甲方审核并认可的合同产品的设计、制造设备、模具、材料、工艺标准、生产 场地和分供方。如私自变更，造成的一切损失均由乙方承担，甲方有权追究由乙方引起的 质量信誉损失。
3.5 Party B must ensure to do mass production under PPAP condition released by Party A, without party A's written consent, Party B cannot change the product design, manufacturing equipment, tooling, material, process specifications, production sites and sub-suppliers described in the Agreement. If Party B change them without Party A’s consent, all loss caused by these changing will be borne by Party B, Party A also have right to pursue quality credit losses caused by the Party B.
3.6 乙方必须将供货零件的检验报告、审核报告和型式试验报告存档，不含 D/TLD 特性要
求的相关报告存档三年，含 D/TLD 特性要求的相关报告保存十五年。
3.6 Party B has responsibility to document supply parts’ Inspection Report, Audit Report and type-test Report, D/TLD part’s documents must be archived for 15 years, and other parts for 3 years.
第四条：开发阶段质量要求
Item 4 Developing-phase Quality Requirement
4.1 乙方开发阶段的质量要求按甲乙双方签订的《新产品合作开发技术协议书》中规定的 要求执行。乙方需制定产品质量先期策划和控制计划（APQP），确保满足项目进度和开发 阶段的产品质量要求，当项目和零件质量出现红灯项时，甲方和乙方有责任和义务共同促

进和整改。
4.1 Quality requirement during developing phase is according to the requirement described in New Product Cooperative Technical Agreement signed by both parties. Party B need to compile APQP and Control Plan to meet parts quality requirement during project schedule and developing phase. Both parties have responsibility and obligation to improve and optimize parts when the parts have quality problems.
4.2 乙方根据技术规范、开发进度及实验大纲等提交自检合格的 OTS 样件，并附带自检报
告，并附带此批样件的锁定的工艺文件。
4.2 Party B submits self-checked qualified OTS samples to Party A according to Technical Specification, developing schedule and test plan, and with attachment of Self-inspection Report and locked process files.
第五条：批量认可要求
Item 5 PPAP Release Requirement
5.1 乙方应确保首批样件是完全在批量生产条件下：既是批量生产设备、工装、量具、过 程、材料和操作工进行制造出来的零件。并保证是一小时至八小时的生产,且至少为 300 件 连续生产产品，或以甲方特殊要求执行。对于多模腔的产品，每一腔位的零件都必须进行 测量，并对代表性的零件进行试验。
5.1 Party B must ensure PPAP samples are produced under mass production condition: mass-produced equipment, tooling, gauges, process, material and operator producing the parts. PPAP samples must be continuous produced, at least 300 pieces within 1 to 8 hours, or according to Party A’s special requirement. With regard to multi-cavities parts, each cavity part needs to be measured and do the test on typical parts.

5.2 乙方产品存在如下情况时，必须提前通知甲方，在得到甲方许可后，按甲方规定的批量
认可流程，对乙方产品进行首批样件认可：
5.2 If any above items needs to change; Party B must inform Party A in advance, with Party A’s consent, Party B can carry out according to Party A’s PPAP procedure. 5.2.1 新零件
5.2.1 New parts
5.2.2 产品技术更改（如设计、规范、材料等更改）
5.2.2 Product technical change (such as: design, specification and material change) 5.2.3 生产条件更改（如场地、设备、模具、分供方等）。
5.2.3 Production condition change (such as: plant, equipment, tooling and sub-suppliers) 5.2.4 生产过程更改（如工艺标准、工序过程更改等）
5.2.4 Production procedure change (such as: process standards and produce procedure) 5.2.5 其它更改，更改后导致影响产品特性
5.2.5 Other change which affect product characteristics 5.3 批量认可流程：
5.3 PPAP Release Procedure
乙方接到甲方的 OTS 样件认可报告及甲方的小批量订单后，需组织内部小批量生产，并 提前 2 周告之甲方计划生产时间，甲方视情况决定是否到乙方现场进行两日生产验收（附 件三:2TP 审核报告）乙方需将检验合格的小批量样件及批量认可文件（见附件四:供应商 PPAP 文件包）一起提交，甲方负责对提交文件进行审核，并对小批量产品进行复检，当 甲方复检发现乙方提供的产品不合格，而需要进行再次复检时，由此产生的复检试验费用 由乙方承担。

After receiving OTS Release Report and small-batch order from Party A, Party B need to organize internal small-batch production, and inform Party A two weeks before production, Party A will decide if they go to Party B to do 2TP (attachment 3: 2TP Audit Report). Party B need to submit qualified small-batch samples and PPAP documents to Party A, Party A re-audit the documents and re-inspect the samples, when Party A find the samples is not qualified and need to inspect them again, the re-inspect fee is borne by Party B
5.4 首批样件 3 分的零件可以被允许有条件的（限时/限量）投入试生产，乙方必须提交 3
分零件的改进措施和计划在双方商定的期限内达到 1 分，并对整改完成后的零件重新提交 批量样件进行认可，如在此优化的过程中，涉及模具修改、设备变更、材料优化、工艺优 化等情况时，乙方需及时将变更信息提交给甲方。
5.4 If first-batch 3-note parts can be conditionally used in Paty A’s trial run, Party B must submit the measurement plan to Party A and improve 3-note part to 1-note within agreed deadline by both parties, Part A do PPAP release again base on the optimized parts, Party B need to inform Party A these following change information if there are tooling modification, equipment change, material optimization and process updating in the measurement plan.
第六条 批量供货阶段质量要求
Item 6 SOP-Phase Quality Requirement
6.1 进货阶段的质量监控及索赔
6.1 In-coming Quality Supervising and Claim
6.1.1 甲方质量部门有权基于供应商来货的检测和核查给出接收，但并不意味着甲方有义 务开展这样的工作，乙方应确保提交的货物满足相关的技术要求。所有涉及保质期要求的

物料，到甲方时，保质期限需大于规定保质期的三分之二以上。经甲方质保部门同意接收
的产品，才能进入甲方仓库。经甲方抽检、检测、核查等判定不能满足技术要求的产品， 一律拒收。
6.1.1 Quality department of Party A has right to receive in-coming parts based on Party B’s Out-going Inspection Report and Part A ‘s In-coming Inspection, but it is not Party A’s obligation to do this work, Party B need to ensure supplied part satisfying relevant specification. The left expiration time of Party B’s parts must longer than 2/3 of described time when they reach Party A. Only the material accepted by Party A’s quality department can enter Party A’s warehouse, any parts which is unqualified and cannot satisfy technical specification which is decided by Party A through sampling, inspection and verification will be rejected by Party A.
6.1.2 经甲方抽检、检测、核查等判定不能接收的产品，甲方在产品包装上加注不合格
标识后拒收。同时，甲方以《质量信息反馈报告》（见附件五）方式反馈乙方，乙方在 到甲方信息后必须确保在 24 小时之内按甲方规定的《质量信息反馈报告》形式反馈信息 制定纠正措施，信息反馈延迟的，按 100 元（RMB）/每日的标准进行处罚。 6.1.2 With regard to unqualified and rejected parts, Party A will inform Party B with ‘Quality Information Feedback’, at the same time, marks the parts with nonconforming product label and rejects them, Party B must feedback the reaction (including reason analysis, improvement plan, completed time and delivery time of qualified parts) to Party A within 24 hours. 100 RMB per day penalty will be borne by party B for delaying feedback. 6.1.3 由于乙方质量不合格造成的供货紧张，导致迫使甲方让步接收，经甲方同意后，其 产品具体降价幅度最低为合同价的 10%。

6.1.3 With Party A’s consent and due to Party A’s emergency manufacturing, the unqualified parts accepted by Party will be deduced the price, the lowest can be 10% of contact price.
6.1.4 如果在乙方正常供货状态中抽样检验，不符合相关的法律法规或者甲方及客户质量
要求的，由甲方承担的复检测试费用或三方的复检费用，均由乙方承担。
6.1.4 In case of Party B’s normal supply parts are rejected after the sampling check because of not complying with the government standards or Party A’s quality requirement, all of inspection cost will be borne by Party B.
6.1.5 如乙方提供的批次产品中存在不良产品，需要由甲方进行挑选﹑返工、返修的，根
据《基础合同》的标准，工时费用按 100 元（RMB）/每小时进行工时索赔。
6.1.5 In case of Party B’s unqualified parts need to be sorted, reworked and repaired by Party A, the cost involving sorting, reworking and repairing will be based on ‘Frame Contract’. 100 RMB per hour claimed for compensation.
6.1.6 由于乙方产品质量原因，造成甲方停产的，按供应商问题索赔标准进行索赔（见附
件六）。
6.1.6 The claim of production Halt caused from Party B’s product quality issues will be fully borne by Party B according to Supplier Issues Claim Standards (attachment 6). 6.1.7 由于乙方产品质量原因，导致甲方客户停线的一切经济损失均由乙方承担。
6.1.7 The claim of production Halt from customer caused from Party B’s product quality issues will be fully borne by Party B.
6.1.8 经甲方同意使用返工、返修、以及成批次质量下降的产品，同样由乙方实行三包。

6.2 生产阶段的质量监控和索赔
6.2 SOP-Phase Quality and Claim
6.2.1 在甲方生产线上发生的单个零件的废品，甲方每月 10 日前对上一个月的进行汇总，
以《退货单》（见附件七）的形式发给乙方，乙方应在接到退货单 5 日内进行确认并反馈， 并在月末对账时统一从发票中扣除。如乙方在５日内没有反馈，视为对甲方退货单已经确 认。
6.2.1 Party A will collect single reject parts on production line and send the ‘Material Reject Bill’ to Party B for verification on 10th per month, Party B must give the feedback within 5 days, Party A will deduct the cost from invoice at the end of month. If no feedback from Party B within 5 days, it is taken as that Party B has confirmed.
6.2.2 在甲方生产装配、调试、终检、试制等出厂前的生产过程中，由乙方产品质量问题
造成的半成品、总成产品返工、返修或报废的，乙方应向甲方赔偿由此带来的损失。赔偿 费用包括：识别所述缺陷的成本、关机和停线费用、管理费用、额外的测试费用、故障件 损失成本、相关报废件损失成本、辅助材料费、差旅费、运输费用等。按供应商问题索赔 标准进行索赔。
6.2.2 During Party A’s production involving assembly, adjusting, final inspection and trial- producing before finished goods, the loss from semi-finished and finished parts’ reworking, repairing and scrapping replacing caused by Party B’s quality problems is borne by Party B. Compensation costs including: described defect identification, shut down and stop line, management, extra tests, failure parts loss, scrapped parts, auxiliary material, travel expense, transportation, etc. reference to Supplier Issues Claim Standards (attachment

6).
6.2.3 批量模具的质量管理
6.2.3 Batch Mould Management 在批量生产阶段，乙方负责制定其模具的日常维护保养计划，并有效实施，同时负责根据 价格协议进行模具寿命质量管理，并根据协议提前做好二套模具的重开及认可工作。甲方 有权对乙方模具（包括二套模具）的质量管理进行监控，乙方有责任和义务配合甲方的监 控管理，反映真实情况，并针对监控中发现的不合格项，按照甲方要求开展整改，因乙方 维护不当导致的模具损坏或提前报废，影响质量和生产，乙方承担相应的责任。
Party B is responsible to compile and implement Mould Daily Maintains Plan during SOP. At the same time, Party B need to do mould quality management during lifetime according to Price Agreement, and prepare to make spare mould and do releasing work in advance reference to Agreement. Party A will supervise the mould (including spare mould) quality management, coordinate with Party A, Party B should reflect the real situation, and rectify the unqualified items according to Party A’s requirement. Party B will bear the corresponding responsibility if the mould is damaged and scrapped in advance because of Party B’s improper maintenance. 6.3 售后服务阶段的索赔方法
6.3 After Sale Claim
6.3.1 在甲方产品销售出厂后，因乙方产品质量问题造成换件或退货的，乙方应向甲方承 担赔偿责任。赔偿费用包括：识别所述缺陷的成本、关机和停线费用、管理费用、额外的 测试费用、故障件损失成本、相关报废件损失成本、辅助材料费、差旅费、运输费用等， 按供应商问题索赔标准进行索赔。

6.3.1 If after-sale product of Party A are exchanged or returned due to Party B’s parts quality, all loss is borne by Party B. Compensation costs including: described defect identification cost, shut down and stop line cost, management cost, extra testing cost, failure parts loss cost, scrapped parts cost, auxiliary material cost, travel expense, transport cost, etc. reference to Supplier Issues Claim Standards (attachment 6). 6.3.2 如果因为乙方提供产品质量问题造成甲方客户生产停线和客户索赔的，甲方将按照
客户索赔的金额全额向乙方进行索赔。
6.3.2 The claim of production Halt from customer caused by Party B’s product quality issues will be fully borne by Party B.
6.4 如果确属乙方供货质量问题给甲方造成损失的，甲方向乙方进行索赔时，乙方必须在
一周内给予书面确认，在规定时间内不予确认的，甲方将在 2 周后直接将索赔款开具发票， 并在货款中直接扣除。
6.4 Party B must give written verification within 1 week to Party A if the loss caused from party B’s supply parts quality problems, otherwise, Party A will issue an invoice after 2 weeks and deduct the money directly.
6.5 如果由于乙方产品质量问题，给甲方带来严重质量影响或质量信誉影响的，或重复质
量问题未在甲方要求期限内进行整改完成的，甲方有权终止价格协议或取消供货资格。
6.5 If quality problems of Party B’s parts seriously affect Party A’s quality influence and quality reputation, or repeated quality problems don’t finish rectifying within Party A’s required deadline, Party A has right to terminate price agreement or cancel Party B’s supply qualification.
6.6 如果由于乙方提供的产品缺陷，造成官方召回或者是为减少损失和损害而客观上必须

进行召回的，乙方承担由此产生的法律责任及一切经济损失。
6.6 It is Party B to bear the legal liability and all economic loss if Party B supply unqualified parts to Party A, and these unqualified parts cause the official recall or objectively recall in order reducing loss and damage.
第七条 供应商质量能力要求
Item 7 Supplier Quality Capability Requirement
7.1 乙方必须按照新版IATF16949 或 VDA 6.1 建立质量管理体系，并获得国际汽车工 作组（IATF）注册认证机构签发的认证证书。
7.1 Party B must set up quality management system according to new-versioned IATF16949 or VDA 6.1, and gain the authentication certificate signed and issued by IATF.
7.2 甲方依据 Formel Q 的评定标准，对乙方的质量能力进行评价，乙方不得以制造过程
保密或者其他业务保密的规定拒绝盖尔瑞孚艾斯曼的审核要求。
7.2 Party A will do quality capability audit to Party B according to Formel Q, Party B is forbidden to reject Party A’s auditing using any excuse, such as, process and other business secrets.
7.3 被甲方评价为 C 级的供应商，新开发项目将无法获得批量认可，原则上不再发包新
零件。乙方必须制定有效的改进计划，并在 6 个月内达到稳定的 B 级质量能力，否则甲方 保留重新选择供应商的权利。
7.3 C-class supplier of Party A cannot gain PPAP release for new developing projects, in principal, no new parts’ nomination to Party B. Party B must compile effective improvement plan and get to B-class quality capability within 6 month, or Party A will

reserve right to choose new supplier.
7.4 审核的相关流程，依据供应商审核工作指导书（附件八）
7.4 Audit procedure is according to Supplier Audit Guideline (Attachment 8)
第八条 供应商质量绩效、改进及奖励
Item 8 Supplier Quality Performance, Improvement and Awards
8.1 甲方有权对乙方进行年度质量业绩表现进行综合评价，并根据评价情况与乙方签署第 二年的具有挑战性并可实现的年度质量目标协议，作为供应商质量改进的一部分，乙方需 主动采取行动，确保目标的实现。（附件九）
8.1 Party A will assess Party B’s quality performance annually, and sign the new challengeable ‘Annual Quality Aim’ for next year based on the assessing result, as part of Part B’s quality improvement.
8.2 对于绩效指标较差的供应商，开展特殊管理，执行供应商汇报会流程，推动供应商尽
快提升。
8.2 Regard to the supplier with poor performance indicator, Party A will carry out special control, perform supplier report-back process, and push supplier promote as soon as possible.
8.3 对于质量业绩优秀的供应商，考虑给予以下奖励：
8.3 The following awards will be given to excellent performance suppliers: 8.3.1 授予年度质量奖。
8.3.1 Annual quality award
8.3.2 同等条件下，两家以上供应商同时供应同一产品，则增加下一年度供货比例。
8.3.2 When two suppliers supply the same parts, the excellent-performance supplier’s

delivery ratio will be increased.
8.3.3 在满足同等条件下，获得新产品定点的优先权。
8.3.3 New product nomination priority under the same condition.
第九条 三包规定
Item 9 Warranty
所有乙方供货产品的三包，均按甲方客户规定的三包规定执行。
The warranty of all Party B’s supply parts executes according to Party A’s warranty regulation
第十条 其它
Item 10
10.1 本协议与基础合同同时生效，此协议一式二份，甲、乙双方各一份，甲、乙双方代 表需签字、盖章。
10.1 This agreement with signature and stamp takes effect with ‘General Agreement’; it is in duplicate, one copy for each party.
10.2 本协议视同甲方的分子公司与乙方已签署质量保证协议。
10.2 The Quality Assurance Agreement is also taken as the agreement between Party A’s subsidiaries and Party B.
10.3 本协议未尽事宜依据基础合同执行。
10.3 Matters not in this agreement should be resolved by both parties’ negotiating.
